Amended Constitution for Diabetes Wellington

The Committee considers that the document is now in a state that is suitable to be submitted to the Registrar of Incorporated Societies for re-registration. However, before we take that final step, we are providing Members a last opportunity to review the amended Constitution and let us know if you identify any error, issues or areas of concern. Given the time of year and the proximity to the holiday season, we are providing a lengthy period for Members to provide feedback.
The last day for feedback on the amended Constitution is Tuesday, 20th January 2026.
Given that we need to have re-registered by 5 April 2026, and we need to allow for the possibility of the Registrar requiring changes, we cannot accept late submissions. Email your feedback to office@diabeteswellington.org.nz. You can also provide feedback via post or courier. Background
Diabetes Wellington is currently registered under the old Incorporated Societies Act that dates from 1908. A new Act came into force in 2022 and that new Act requires all Incorporated Societies to re-register with updated constitutions that comply with the new Act. If an incorporated society fails to re-register, that will result in the society's registration being cancelled.
Earlier this year we issued a draft constitution for members to review and offer feedback. That draft was discussed at the 2025 AGM and, as a result of those discussions, a few amendments were made. The AGM resolved that the resulting draft should be submitted for legal review, and that has been done.
